Japan's Metaplanet is taking 2,100 bitcoin to Nasdaq through Super League, after a 10,000 coin round trip that cost it about 81 million dollars

What is Metaplanet doing in the United States? Building a second bitcoin treasury company, listed on Nasdaq. Shareholders of Super League Enterprise approved all proposals tied to an investment by the Tokyo listed bitcoin holder at their annual meeting on 16 October, clearing the way for Metaplanet to contribute 2,100 bitcoin and 2.5 million dollars in cash, according to Crypto Daily. After the deal closes, Super League will be renamed Superplanet and trade under the ticker SUPA.

The move gives Asia's best known bitcoin treasury company direct access to the deepest capital market in the world. It also comes after a striking trade in the third quarter, when Metaplanet sold 10,000 bitcoin and then bought 11,000 back at higher prices. Together, the two moves show how bitcoin treasury companies are trying to prove they can both raise money and handle large positions, and how costly that can be.

    What shareholders approved

Under the deal, Metaplanet will transfer 2,100 bitcoin and 2.5 million dollars in cash to Super League, a US company with a gaming advertising and digital media business. In return, Metaplanet will receive 44.86 million common shares priced at 3 dollars each, along with preferred shares and long term warrants, according to ForkLog.

Based on the 14 August reference price used when the agreement was signed, the bitcoin was valued at about 132.1 million dollars. By 16 October, with bitcoin higher, its value had risen to about 170 million dollars. On closing, Metaplanet will own about 95.7 percent of Super League's common shares and will have the right to appoint five of nine board members and the chairman.

The deal is expected to close in the fourth quarter of 2026, subject to Nasdaq procedures and approvals from regulators in the United States and Japan. The shareholder vote advances, but does not complete, the transaction.

The share price in the deal, 3 dollars per common share, is a key detail. If Super League's shares trade above that level after closing, the transaction would look favourable for Metaplanet. If they trade below it, the market would be valuing the combined company at less than the deal implied, a common challenge for treasury companies when sentiment turns.

Why Metaplanet wants a US listing

Metaplanet chief executive Simon Gerovich has said the company built one of the world's largest bitcoin treasuries in Japan, and that Superplanet will allow it to expand in the United States, which he called the deepest capital market. Metaplanet will keep raising money in Japan, while Superplanet will raise money in the US, and Superplanet's bitcoin will be consolidated into Metaplanet's financial statements.

Superplanet's main strategy will be accumulating bitcoin, with the 2,100 coins forming its initial reserve. Its bitcoin could serve as collateral for perpetual preferred shares, although no decision on issuance has been made. Within two years of closing, Metaplanet may invest up to an additional 210 million dollars in Superplanet's preferred shares. Super League's existing business will continue as a separate unit, and Matthew Edelman will remain chief executive.

Metaplanet is not just buying bitcoin. It is building a machine with two engines, one in Tokyo and one on Nasdaq, both designed to raise money and turn it into more bitcoin.

Metaplanet has committed not to sell the acquired securities, including shares from warrant exercises and preferred share conversions, for five years, a signal that it intends to keep control of the US vehicle for the long term.

    The 10,000 bitcoin round trip

The US deal follows a much discussed trade. In the third quarter of 2026, Metaplanet sold 10,000 bitcoin for about 790 million dollars, then repurchased 11,000 bitcoin for about 950 million dollars, according to 24/7 Wall St. The company ended up with 1,000 more coins but about 160 million dollars less in cash.

Metaplanet presented the round trip as a proof of liquidity, showing it could sell a large position when necessary. The sale represented about a quarter of the 43,000 bitcoin it held in July. 24/7 Wall St calculated that Metaplanet sold at an average of about 79,000 dollars per coin and bought back at about 86,400 dollars. If it had bought back at its sale price, it would have spent about 869 million dollars, so roughly 81 million dollars of the difference reflected bitcoin's price rise rather than the extra coins.

In other words, the liquidity demonstration cost about 81 million dollars that the company could have kept by simply holding its coins. Supporters argue that proving the ability to sell is valuable for a company whose investors worry about what happens in a crash. Critics see an expensive experiment.

The questions around bitcoin treasury companies

Bitcoin treasury companies are publicly traded businesses whose main asset is bitcoin. Investors buy their shares largely for bitcoin exposure, often at a premium to the value of the coins they hold. The model depends on raising money cheaply through shares or preferred stock and converting it into bitcoin.

A lingering doubt is whether such companies could sell large positions quickly without crashing the price, especially during sharp falls like bitcoin's 50 percent drop in early 2026. Metaplanet's round trip suggests the market has some depth, but it was conducted on the company's own terms rather than under stress. Bitcoin's direction is also tied to global rates and the yen, as we covered in our report on why the Bank of Japan matters for bitcoin. The key risks for treasury companies include:

    • Share prices falling below the value of bitcoin held
    • Difficulty raising new capital in weak markets
    • Forced selling during sharp bitcoin declines
    • Dilution from new share and preferred issues
    • Regulatory and accounting changes across jurisdictions

Investor ownership is another factor. Large institutional investors hold stakes in some treasury companies, and their decisions to buy or sell shares can move prices sharply. For smaller shareholders, that adds another layer of volatility on top of bitcoin's own swings, which can be extreme.

    What it means for investors

For Metaplanet shareholders, Superplanet offers a way to tap US investors while keeping the bitcoin within the group. For US investors, it creates another listed vehicle for bitcoin exposure with Japanese backing. Crypto funds have seen volatile flows this year, as shown by the outflows from Ethereum ETFs, and treasury companies face similar swings in sentiment.

For the wider market, the deal shows that Asian crypto companies are increasingly using US listings to grow. Whether the two engine model creates value will depend on bitcoin's price and on investors' willingness to keep paying for exposure through company shares.
